M/WBE Certification in New York City: An Opportunity to Grow Your Business

Every year, New York City contracts with private companies to purchase products and services in areas as diverse as construction, technology, accounting, food services, graphic design, maintenance, consulting, transportation, and event planning.
To help businesses owned by women and members of minority groups participate in these opportunities, the City offers the Minority and Women-owned Business Enterprise Certification Program, commonly known as M/WBE.
Obtaining this certification can increase a small business’s visibility and help it connect with City agencies, prime contractors, and organizations seeking diverse suppliers.
What Is M/WBE Certification?
M/WBE certification is a designation granted by the New York City Department of Small Business Services (SBS) to businesses that meet specific ownership, management, operational, and location requirements.
The program’s objective is to promote broader and more equitable participation in New York City contracting opportunities.
It is important to understand that municipal, state, and federal certification programs are separate. This article refers specifically to the New York City M/WBE certification.
What Are the Benefits?
A certified business may receive several benefits:
Being listed in New York City’s public directory of certified businesses.
Gaining greater visibility among City agencies purchasing products and services.
Being discovered by private contractors seeking M/WBE subcontractors or suppliers.
Accessing networking events, targeted meetings, and specialized courses.
Learning about contracting opportunities and developing relationships with public and private buyers.
Strengthening the company’s credibility and commercial profile.
The City’s official directory includes thousands of businesses from many different industries. Buyers can use it to search for certified suppliers according to the products, services, or areas of expertise they need.
However, obtaining certification does not mean that a company will automatically receive a contract. The business must still identify opportunities, submit competitive proposals, and demonstrate that it has the experience and capacity to perform the work.
Who Can Apply?
To qualify for New York City M/WBE certification, a business must meet several basic requirements.
Ownership and Control
At least 51% of the business must be owned, operated, and controlled by U.S. citizens or permanent residents who are women or members of one or more minority groups recognized by the program:
Black.
Hispanic.
Asian-Pacific.
Asian-Indian.
Native American.
It is not enough for an eligible individual to formally own 51% of the company. That individual must also actively participate in management, control important decisions, and oversee the company’s daily operations.
Time in Business
The company must have been selling products or providing services for at least one year.
Therefore, a newly established business without a commercial operating history will generally need to wait until it meets this requirement before submitting an application.
Authorization to Operate
The company must be legally authorized to conduct business in New York State and must maintain the registrations, permits, and licenses required for its activities.
Legal Structure
Businesses organized under any of the following structures may apply:
Sole proprietorship.
Limited Liability Company (LLC).
Corporation.
Limited Liability Partnership (LLP).
Limited Partnership (LP).
General partnership.
Nonprofit organizations are not eligible for this certification.
Business Location
The company’s principal office or primary place of business must be located in one of New York City’s five boroughs or in one of the following counties:
Bergen.
Hudson.
Nassau.
Passaic.
Putnam.
Rockland.
Suffolk.
Westchester.
A company located outside these areas may still qualify if it can demonstrate a substantial business presence in the New York City market.
To do so, it must meet at least two of the following conditions:
Maintain a bank account or conduct other banking activities in New York City for at least six months.
Hold a license issued by a New York City agency authorizing the business to operate within the city.
Demonstrate that it completed or attempted to complete business transactions in New York City more than once during the past three years.
What Documents May Be Required?
The required documents may vary depending on the company’s legal structure and circumstances. General documentation may include:
Résumés for everyone who has an ownership interest in the business.
A bank letter containing the account number and identifying the individuals authorized to sign on the account.
Federal, state, and city tax returns from the most recent tax year, including all schedules.
Proof of U.S. citizenship or permanent resident status for each owner.
Documentation supporting the minority status of each owner claiming minority-group membership.
Business licenses and permits.
Lease agreements or proof of ownership for all business locations.
Contracts, invoices, and proof of payment for completed work.
Information about how the business was established and initially funded.
Formation documents, operating agreements, or corporate bylaws, depending on the business structure.
For example, LLCs may need to submit their Articles of Organization, Operating Agreement, and proof of state registration. Corporations may be required to provide their articles of incorporation, corporate bylaws, and stock certificates.
Businesses operating under a trade name or DBA must provide the corresponding Certificate of Assumed Name.
It is important that information concerning ownership, ownership percentages, management, addresses, and bank accounts be consistent across all documents.
How Do You Apply for Certification?
The general application process includes the following steps:
1. Confirm Your Eligibility
Before beginning, confirm that your company meets the ownership, control, time-in-business, legal structure, and location requirements.

2. Gather Your Documents
Prepare clear electronic copies of your tax returns, formation documents, licenses, contracts, banking documents, and other required records.
Organizing this information before beginning the application can help prevent delays and requests for additional documentation.
3. Obtain a Federal Tax Identification Number
The business must have a federal tax identification number. This may be an Employer Identification Number (EIN) or, for certain sole proprietors, a Social Security Number (SSN).
4. Register as a New York City Vendor
The company must create an account in the Payee Information Portal (PIP). This registration provides the business with a New York City Vendor Number.
5. Create a PASSPort Account
The company must also register in PASSPort, the platform used by the City to manage vendors and procurement processes. This registration places the company on the Citywide Bidder List.
6. Submit the Application Through SBS Connect
The standard or Fast Track application must be submitted electronically through SBS Connect.
The person preparing and submitting the application must be authorized to represent the company. This individual will also serve as the primary contact throughout the review process.
7. Track the Application
Applicants can monitor their application through the My Records section of SBS Connect. SBS will notify the business of its final decision after completing its review.
If the application is denied, the business has the right to challenge the decision by following the instructions provided in the denial notice.
How Much Does It Cost, and How Long Is It Valid?
Applying for New York City M/WBE certification is free.
Once approved, the certification is valid for five years from the date stated in the confirmation letter.
During this five-year period, the business must submit an annual confirmation stating that no significant changes have occurred in its ownership, operations, or management. SBS generally sends a reminder before the certification anniversary.
At the end of the five-year period, the certification must be renewed through SBS Connect.
What Is the Fast Track Application?
Some businesses that already hold certifications issued by approved partner organizations may qualify for an expedited process known as Fast Track.
Recognized partners include certain New York City and New York State organizations, the Port Authority of New York and New Jersey, and organizations specializing in certifications for minority- or women-owned suppliers.
To use this option, the existing certification must meet the program’s requirements and have at least six months remaining before expiration.
Mistakes That Can Delay the Application
Common problems include:
Submitting incomplete or illegible documents.
Reporting different ownership percentages in different records.
Failing to maintain an updated LLC Operating Agreement.
Using an address that does not match the company’s tax returns or licenses.
Failing to demonstrate clearly who controls the company’s decisions.
Confusing New York City certification with state or federal certification.
Failing to complete the required PIP or PASSPort registrations.
Failing to respond promptly to SBS requests for additional information.
Before submitting the application, review all documents to ensure they tell a consistent story about the company’s ownership, management, and operations.
Certification Is the Beginning, Not the End
Obtaining M/WBE certification can open the door to new opportunities, but the company must also be prepared to compete.
This means keeping accounting records, tax returns, licenses, insurance policies, and corporate documents in good order. It also requires understanding the company’s actual costs, establishing appropriate prices, and maintaining the financial capacity to perform any contracts awarded.
A certified business should have a clear capability statement, identify the appropriate codes and categories for its services, regularly review contracting opportunities, and actively participate in networking events.
